User Agreement
This User Agreement (the "Agreement") governs the relationship between the owner of the online platform NPPRTEAM.SHOP (the "Platform" or "Marketplace") and any individual or legal entity (the "User") that registers with and/or uses the Platform’s functionality.
The Agreement forms an integral part of the Platform’s legal documentation package (Public Offer, Privacy Policy, General Platform Rules). In case of discrepancies, the following priority applies:
Public Offer → General Platform Rules → this Agreement.
1. Definitions
1.1. NPPRTEAM.SHOP — the Platform located at https://npprteam.shop
1.2. Platform / Marketplace / NPPRTEAM.SHOP — an online environment that enables the publication and exchange of information about digital goods, as well as transactions between sellers and buyers.
1.3. Personal Account — the User’s interface within the Platform, accessible after authorization via the web version, containing personal data, statistics, and balance information.
1.4. Statistical Data — automated accounting data of NPPRTEAM.SHOP, including information about transactions, balances, and payments.
1.5. User — any legally capable individual registered on the Platform who uses its functionality.
1.6. Seller (Provider) — an individual or legal entity that publishes offers for digital goods on the Platform and agrees to the terms of the Public Offer, this Agreement, and the Privacy Policy.
1.7. Buyer — a User purchasing digital goods from a Seller remotely via the Platform interface.
1.8. Registration — successful completion of the registration form, resulting in the creation of a Personal Account.
1.9. Login / Password — unique credentials used to access the Personal Account.
1.10. Transaction — an agreement between a Seller and a Buyer for the sale of a digital good or provision of a service.
1.11. Balance — records of the User’s funds within the Platform, including inflows and outflows.
2. Intellectual Property Rights
2.1. Exclusive rights to the Platform — including software, databases, design, logo, trademarks, and other elements — belong to NPPRTEAM.
2.2. Without prior written consent from NPPRTEAM, no part of the Platform may be reproduced, modified, distributed, publicly displayed, transmitted, or otherwise used in whole or in part, except as expressly permitted by this Agreement.
2.3. Upon acceptance of this Agreement, NPPRTEAM grants the User a non-exclusive right to use the Platform’s functionality. Breach of the Agreement may result in account suspension.
2.4. NPPRTEAM may terminate a User’s registration in case of violations of Russian, EU, or U.S. law, or this Agreement.
2.5. The current version of this Agreement is published at https://prod.npprteam.shop/en/pages/polzovatelskoe-soglashenie/. Updates become effective once published.
2.6. Users may not use NPPRTEAM.SHOP’s logo, trade name, trademark, or domain names for commercial purposes without explicit consent of the rights holder.
2.7. Any form of spam, manipulation of affiliate links, or copying of the Platform with the intent to mislead third parties is strictly prohibited.
3. Registration and Access
3.1. To register, the User must complete all required fields in the registration form. A valid email address is required for confirmation.
3.3. Acceptance of this Agreement is confirmed by checking the box "I Agree" during registration.
3.4. Any action performed using the User’s login and password is deemed to have been performed by the User and has the same legal effect as a simple electronic signature.
3.5. The User must keep login credentials confidential. NPPRTEAM may reset a password if compromise is suspected.
4. Transaction Execution
4.1. Payments between Buyers and Sellers are processed via escrow on the Platform (see Public Offer, section 4.2).
4.2. The User agrees that any changes to their balance displayed in the Personal Account are legally binding, require no additional confirmation, and are recorded in the automated accounting system of NPPRTEAM.SHOP.
4.3. All settlements are carried out according to the exchange rates, fees, and conditions effective at the time of the transaction as displayed on the Platform.
4.4. The Platform is not a party to transactions between Users, except where explicitly stated in the Public Offer.
5. Liability
5.1. Violations of this Agreement may result in temporary suspension, restriction of certain functionality, or permanent termination of access to the Platform.
5.2. The User is fully responsible for any information they publish, actions they perform, and consequences resulting from use of the Platform.
5.3. NPPRTEAM.SHOP bears no responsibility for:
- any losses incurred by the User due to use or inability to use the Platform;
- actions of third parties, including other Users;
- technical errors, malfunctions, or communication failures, including internet service disruptions.
5.4. If claims or lawsuits are brought against the Platform due to a User’s actions, the User agrees to resolve such claims independently and, if necessary, indemnify the Platform for resulting damages.
6. Account Deletion
6.1. The User may delete their account via the Personal Account interface, provided there are no outstanding obligations, debts, or active transactions.
6.2. The Platform may delete a User’s account:
- in case of legal violations;
- in case of violation of this Agreement or other Platform documents;
- after extended inactivity (over 12 months).
6.3. Account deletion results in removal of personal data, except where retention is required by law.
7. Personal Data Processing
7.1. All matters related to personal data processing are governed by the Privacy Policy published on the Platform.
7.2. By registering and using the Platform, the User consents to the processing of their personal data, including:
- full name (if provided),
- contact details (email, Telegram, Discord, etc.),
- activity on the Platform, IP addresses, device information, and other related data.
7.3. Data is processed for the purposes of: - fulfilling obligations under this Agreement;
- enabling operation of the Personal Account;
- compliance with applicable laws (including AML/CFT requirements);
- preventing fraud and abuse.
7.4. The User may revoke consent by submitting written notice, which results in account deletion and termination of Platform access.
8. Final Provisions
8.1. This Agreement constitutes a public offer and becomes effective upon User acceptance during registration.
8.2. NPPRTEAM.SHOP may amend this Agreement unilaterally. The current version is always available at https://prod.npprteam.shop/en/pages/polzovatelskoe-soglashenie/
8.3. If the User disagrees with amendments, they must stop using the Platform. Continued use constitutes acceptance of the revised Agreement.
8.4. This Agreement shall be governed by and construed in accordance with the laws of the Russian Federation.
